Structure Smart. Scale Safely.
KIA Advisory works with founders, business owners and investors on the corporate and commercial matters behind doing business in Indonesia. We assist with company setup, business structuring, commercial contracts, ownership and shareholder matters, corporate changes, investment and transactions.
How we can help
Businesses rarely stay exactly as they were when they started. Partners join or leave. New activities are added. Contracts become more important. Investors come in. Capital needs change. Opportunities arise to acquire, sell or restructure a business.
We assist founders and investors establishing businesses in Indonesia, including PT PMA setup, KBLI and business scope, ownership arrangements, capital structure and founder arrangements.
Where several founders or investors are involved, we can also advise on how ownership, contributions, responsibilities and decision-making should be structured from the beginning.
We support businesses with their ongoing corporate and commercial matters, including shareholder and management changes, capital changes, KBLI updates, corporate documentation and the drafting and review of commercial agreements.
This covers agreements relating to day-to-day business activities and commercial relationships, including service, cooperation, supplier and vendor agreements and licensing arrangements.
We advise founders, shareholders and investors when ownership, capital or control of a business is changing, including investor entry, shareholder exits, ownership and capital restructuring, shareholder agreements, investment instruments, share swaps and acquisitions.
We can advise from the early structuring of a transaction through negotiation, documentation and corporate implementation.
When we can help
You do not need to know exactly what legal or corporate solution you need before contacting us. Tell us what you are trying to achieve and we can discuss how KIA Advisory may be able to assist.
Our approach
Corporate matters are rarely only about paperwork.
A commercial agreement affects how a business earns revenue and manages risk. New investment affects ownership and control. A shareholder change may have consequences for capital and governance. A new business activity may require changes to the company’s structure or licences.
We therefore look at the commercial context as well as the corporate requirements. Our role is to help clients understand the implications of their decisions, consider the available options and translate those decisions into appropriate structures, agreements and corporate actions.
For matters requiring other specialist expertise, we can work alongside notaries, tax advisers, accountants, immigration professionals and other advisers as appropriate.
Selected experience
Advising a founder-led business on the conversion of historic investment instruments, additional capital, new investors, multiple share classes, voting rights and shareholder arrangements.
Advising shareholders of an Indonesian company on a strategic acquisition by an overseas business, including transaction structuring, a share swap and the resulting ownership arrangements.
Advising an owner-operated business on the entry of a new foreign investor, changes to existing shareholding and arrangements for future working-capital contributions.
Advising founders on changes to an existing ownership arrangement, the entry of new partners, shareholder agreements and the structuring of related commercial relationships.
Advising foreign investors on PT PMA establishment, KBLI classifications, business activities and the corporate arrangements required to support their intended business model in Indonesia.
Drafting and reviewing agreements supporting clients’ commercial operations, partnerships and business relationships in Indonesia.
Examples are described in general terms and clients are not identified.

About
KIA Advisory is a corporate advisory practice based in Bali, serving founders, businesses and investors across Indonesia.
Our work spans company setup, commercial contracts, corporate changes, business structuring, investment and transactions, with particular experience in matters involving ownership, capital and significant changes in a business.
Rather than looking only at the document or legal requirement in front of us, we consider how a decision fits into the business, its ownership, its economics and its longer-term plans.
KIA Advisory aims to build long-term relationships with the businesses we advise and to become a strategic partner as those businesses establish, operate, grow and undertake important transactions.
KIA Advisory is part of KIA Consulting Group, which has operated in Indonesia since 2015.
